General Terms and Conditions for Promoters („Promoter GTC“)

These GTC apply to all services, products, functions and offers from Eventfeed, Wartburgstrasse 47, 10823 Berlin, Germany (hereinafter "Eventfeed" or "we" / "us"), which are available to Promoters online via the Eventfeed website ("Website") the mobile Eventfeed Progressive Web App ("PWA") or made available in some other way by publishing these terms and conditions (hereinafter collectively the "Eventfeed Objects" or "Services"). The Promoter GTC apply in addition to the General Terms and Conditions for Users and contain additional provisions relating to Users who use the Services as Promoters. Unless otherwise specified in these Promoter GTC, the provisions of the User GTC apply. Definitions from the User GTC apply accordingly to these Promoter GTC.
Submission of Events
Unbeschadet der alleinigen Verantwortlichkeit des Promoters für seine Events behält sich Eventfeed das Recht vor, von Ihnen eingestellte Events vor deren Veröffentlichung zu sichten und nach eigenem Ermessen, insbesondere bei einem Verstoß gegen die Promoter oder User AGB, bei Verdacht auf Verletzung von Rechten Dritter oder sonstigem anwendbaren Recht, deren Veröffentlichung zu unterbinden.
Sie verpflichten sich, wahrheitsgemäße, zutreffende, aktuelle und vollständige Angaben zu den von Ihnen eingestellten Events zu machen. Außerdem verpflichten Sie sich, die Eventdaten auf dem aktuellen Stand zu halten und bei Bedarf oder Änderungen abzuändern.
Without prejudice to the Promoter's sole responsibility for his Events, Eventfeed reserves the right to view Events you have posted before they are published and at its own discretion to prevent publication, in particular in the event of a violation of the Promoter GTC or User GTC, or a suspected violation of third-party rights or otherwise applicable law.
You undertake to provide truthful, accurate, current and complete information about the Events you have posted. You also undertake to keep the Event dates up to date and to change them if necessary or if changes are made.
Ticket Links
Eventfeed arbeitet mit Ticketverkäufern zusammen und erhält von diesen Provisionen für Affiliate-Links, die von den Eventfeed Services zu Käufen bei den Ticketverkäufern führen. Sie erklären sich damit einverstanden, dass Eventfeed im Rahmen seiner Verträge mit den Ticketverkäufern die Ticket-Links inklusive der Affiliate-Links verändert, um eine Nachverfolgung zu Eventfeed zu ermöglichen.
Eventfeed works with ticket resellers and receives commissions from them for affiliate links that lead from the Eventfeed Services to purchases from the ticket resellers. You agree that Eventfeed may change the ticket links including the affiliate links as part of its contracts with the ticket resellers in order to enable tracking sales to Eventfeed.
Booking of Additional Services
General
Eventfeed offers registered Promoters the opportunity to book additional chargeable services within their Promoter Accounts ("Additional Services"). This possibility is subject to change and only while stocks last. Eventfeed is entitled to change the prices for Additional Services at any time at its own discretion. Price changes do not apply to bookings that have already been made and, if applicable, only come into effect at the beginning of the next billing period or when a new booking is made.
Upgrade to a Premium Account
Eventfeed offers you the paid option to upgrade your Promoter Account to a Premium Account. This includes additional premium services that allow you to analyze the reach and impact of your profile and your Event (“Premium Services”). You can do an upgrade at any time within your Promoter Account.
The upgrade obliges you to pay the agreed upgrade fee for the duration of its validity. The upgrade runs for one month at a time and is automatically extended by another month, unless it is canceled with 3 days notice. If you cancel your upgrade, your normal Promoter Account and any other additional services you may have booked will continue to exist. However, once the upgrade termination takes effect, you will no longer have access to the special Premium Services and the data contained therein.
Acquisition of placements for Events
Eventfeed offers Promoters the paid option to place their Events in the search results more favorably so that they are displayed to the selected User target group earlier or with more effect. The booked placement remains in place for the agreed period and obliges you to pay the agreed placement fee.
Termination of your Promoter Account
You can cancel your Promoter Account at any time. From the point at which the termination of your Promoter Account takes effect, you will no longer have access to your Promoter Account and the data contained therein. The termination of the Promoter Account does not affect any payment obligations that result from the booking of an Additional Service that has already been made, even if the termination of the Promoter Account shortens the duration in which you actually use the Additional Service. Refunds are not possible. The same applies if or as long as Eventfeed temporarily blocks or permanently deletes your Promoter Account in a legitimate manner.
Representations and Indemnification
As a Promoter, you warrant to Eventfeed that
- you comply with applicable law in relation to the information you collect from (or receive about) Users and comply with all contracts and guidelines applicable under the Services;
- you comply with all applicable data protection regulations when processing personal User data;
- you are solely responsible for the proper booking process for your Events.
Without prejudice to any other possible claims by Eventfeed, the Promoter undertakes within the framework of the aforementioned warranties to indemnify Eventfeed on first request and in full from all third-party claims may be raised against Eventfeed, and to reimburse Eventfeed for all reasonable legal defense costs and any further claims to replace the resulting damage.
Änderungen der Promoter AGB
Eventfeed reserves the right to change these Promoter GTC at any time, insofar as this is necessary due to a changed legal situation or supreme court case law, technical changes or further developments, new organizational requirements of mass traffic, further developments of the business model, loopholes in the Promoter GTC, changes in market conditions or other reasons and provide that the changes do not disadvantage the Promoter unreasonably. Eventfeed will notify registered Promoters of significant changes to the Promoter GTC at least four weeks before they come into effect by email or via the Eventfeed account. Changes that only affect new functions on the Services or are not associated with any additional obligations or burdens on the Promoter take effect immediately. The changes are considered approved if the Promoter does not object to the changes within four weeks after Eventfeed’s notification. In the event of a change in the Promoter GTC, Eventfeed will specifically point out the possibility of objection and the importance of the deadline. If the Promoter makes use of his right of objection, Eventfeed has the right to terminate all contracts with the Promoter and accounts of the Promoter with effect from the point in time at which the changed Promoter GTC are to come into force, or at which the term of already booked Additional Services expires, whichever occurs later. Eventfeed will also point this out to Promoter separately.
Assignment
We may assign these Promoter GTC, the contracts with our Promoters and our resulting rights and obligations to our Promoters to another legal person, in particular to an affiliated company, or in connection with a corporate transaction or otherwise.
Applicable Law and Jurisdiction
Es gilt das Recht der Bundesrepublik Deutschland. Wenn der User als Verbraucher handelt und zum Zeitpunkt seiner Anfrage seinen gewöhnlichen Aufenthalt in einem anderen Land als Deutschland hat, bleibt die Anwendung zwingender Rechtsvorschriften dieses Landes von der in Satz 1 getroffenen Rechtswahl unberührt.
Wenn der User Kaufmann ist, ist ausschließlicher Gerichtsstand der Sitz von Eventfeed (Berlin). Dies gilt auch für den User, der kein Kaufmann ist, für den Fall, dass der User keinen allgemeinen Gerichtsstand im Inland (Deutschland) hat, nach Vertragsschluss seinen Wohnsitz oder gewöhnlichen Aufenthaltsort aus dem Inland (Deutschland) verlegt oder der Wohnsitz oder gewöhnlichen Aufenthaltsort des Users zum Zeitpunkt einer Klage nicht bekannt ist. Im Übrigen gelten für die örtliche und die internationale Zuständigkeit die anwendbaren gesetzlichen Bestimmungen.
The law of the Federal Republic of Germany shall apply. If the Promoter acts as a consumer and has his habitual residence in a country other than Germany at the time of his request, the application of mandatory legal provisions of this country remains unaffected by the choice of law made in sentence 1.
If the Promoter is a merchant, the exclusive place of jurisdiction is the seat of Eventfeed (Berlin). This also applies to the Promoter who is not a merchant in the event that the Promoter does not have a general place of jurisdiction in Germany, moves his domicile or usual place of residence outside of Germany after the conclusion of the contract or the domicile or usual place of residence of the Promoter is not known at the time of a lawsuit. Apart from that, the place of local and international jurisdiction shall be governed by applicable statutory provisions.
Miscellaneous
Should we fail to assert any of the provisions mentioned herein, this shall not be construed as a waiver of our basic right to assert such or any other provision of these User GTC. The headings of the individual sections are for better orientation and have no legal or contractual effect.

We are neither willing nor obliged to participate in dispute settlement proceedings before a consumer arbitration board.
